Partnership — dissolution of — assets of former partnership — right of access former partners to records former partnership — right to be exercised reasonably and for a reasonable period only.
On the dissolution of a partnership, all the former partners have, in the absence of any agreement to the contrary or a distribution of the assets of the partnership, equal rights to all the books of record compiled during the subsistence of the partnership.
Failing any agreement to the contrary, no former partner would have any right to limit another's rights of access to the partnership's records. However, such a right must be exercised reasonably and should be in force for a reasonable period only. It would be inequitable and unreasonable to allow access for an unlimited period of time.
